Terms of Service

1. Agreement to Terms
By accessing or using the Wytness platform, websites, SDKs, APIs, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, do not use the Service. Use of the Service is also subject to our Privacy Policy and Acceptable Use Policy.
Wytness is a registered business name of Providence Tech Pty Ltd, ABN 16 685 892 513, a company incorporated in Australia. References to "Wytness", "we", "us", or "our" in these Terms are to Providence Tech Pty Ltd carrying on business as Wytness.
2. Description of Service
Wytness provides a SaaS audit-logging platform for AI agents. The Service includes SDKs, APIs, a dashboard, and related documentation. Events submitted through the Service are cryptographically signed in your environment, hash-chained, and stored in compliance-grade infrastructure or, on the Business plan with customer-hosted storage, in storage you control.
3. Service Evolution
The Service is under continuous development. Features may be added, changed, or retired; we will notify you of material changes as described in Section 23. Availability commitments and service credits for paid plans are set out in the Service Level Agreement referenced in Section 9; in all other respects the Service is provided on an "as is" basis, subject to the limitations in Section 12. Features clearly marked as beta or preview are excluded from availability commitments.
4. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your credentials and for all activity under your account. Notify us immediately at support@wytness.ai if you suspect unauthorised access. You must be 18 or older to hold an account.
5. Acceptable Use
Your use of the Service is governed by our Acceptable Use Policy. You may not use the Service for any unlawful purpose, attempt to gain unauthorised access to the Service or its infrastructure, interfere with its integrity or performance, reverse engineer any part of the Service, store or transmit malicious code, or resell or redistribute the Service without our written consent.
6. Data Ownership
You retain all rights to the data you submit to the Service ("Your Data"). Wytness does not access, sell, or share Your Data except as necessary to provide the Service or as required by law. Audit events are stored in append-only, tamper-evident storage (every event hash-chained and envelope-signed; chain breaks surface as anomalies in your dashboard). You may export Your Data at any time through the dashboard. Where you operate the Business plan with customer-hosted storage, Your Data resides in your own cloud tenancy and Wytness does not retain a copy in shared infrastructure.
7. Cryptographic Keys
Ed25519 signing keys are generated and held exclusively in your environment. Only the public key is registered with Wytness. You are solely responsible for the safekeeping and rotation of your private keys. Wytness cannot recover lost private keys or forge signatures on your behalf.
8. Billing and Payment
Paid plans are billed in advance, monthly or annually per the billing term you select, through the billing channel applicable to your subscription, which may be a direct payment processor, a cloud marketplace, or, by separate arrangement, manual invoicing. Prices are listed in USD and exclude applicable taxes, which are calculated based on your billing address. You authorise us, or the applicable billing partner, to charge your payment method for recurring fees. If payment fails, we may suspend access after reasonable notice. Refunds are handled on a case-by-case basis and, where the subscription is fulfilled through a cloud marketplace, are subject to that marketplace's refund policy.
9. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, upgrades, or circumstances beyond our control. We will provide reasonable notice for planned downtime where possible. Live service status is published at /status. Plan-specific uptime commitments and service credits are set out in the Service Level Agreement.
10. Intellectual Property
The Service, including its software, design, documentation, and branding, is owned by Wytness and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets. The SDKs are provided under their respective open-source licences as published in their repositories.
11. Feedback
If you submit feedback, suggestions, or ideas about the Service, you grant Wytness a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose without obligation to you.
12. Disclaimer and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Wytness shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, revenue, or business opportunities arising from your use of the Service. Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the fees paid for the Service — whether to Wytness or, where your subscription is fulfilled through a cloud marketplace or other billing partner, to that partner — in the twelve months preceding the event giving rise to the claim.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable statute that cannot lawfully be excluded. To the extent a statutory guarantee applies and our liability for its breach may lawfully be limited, our liability is limited, at our election, to re-supplying the relevant services or paying the cost of having them re-supplied.
13. Indemnification
You agree to indemnify and hold Wytness, its affiliates, officers, employees, and agents harmless from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from your use of the Service, the data you submit, your violation of these Terms, or your violation of any third-party rights.
14. Termination
Either party may terminate the account at any time. You may cancel your account through the dashboard. Where your subscription was purchased through a cloud marketplace, plan changes and cancellation are handled by that marketplace, and the dashboard links you to its billing controls. Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days after termination, during which you may request an export and reactivation cancels the deletion. On termination, sealed Evidence Packs covering your organisation's full audit-event history are generated automatically and emailed to you; they remain independently verifiable after you leave. After the 30-day hold, data held in shared infrastructure will be permanently deleted. Where the Business plan with customer-hosted storage is in use, your data remains in your own tenancy on termination, under your own retention and immutability controls; Wytness will revoke its access credentials and cease processing within 30 days.
15. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by events beyond reasonable control, including acts of God, natural disasters, war, terrorism, riots, government actions, labour disputes, internet or telecommunications failures, or failures of upstream cloud providers. The affected party shall use reasonable efforts to resume performance as soon as practicable.
16. Assignment
You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets, on notice to you.
17. Notices
We may give notice to you by email to the address associated with your account, by posting in the dashboard, or by any other reasonable means. You may give notice to us at support@wytness.ai. Notices are effective on receipt.
18. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.
19. Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, Data Processing Agreement, and any order form or subscription agreement between us, constitute the entire agreement between you and Wytness regarding the Service and supersede all prior or contemporaneous agreements, communications, or understandings.
20. Survival
Provisions that by their nature should survive termination (including data ownership, intellectual property, indemnification, limitation of liability, and dispute resolution) will survive termination of these Terms.
21. Dispute Resolution
Before filing any claim against Wytness, you agree to attempt to resolve the dispute informally by contacting us at support@wytness.ai. If we cannot resolve the dispute within sixty days of written notice, either party may pursue formal proceedings, subject to the governing law and jurisdiction provisions below.
22. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to conflict-of-law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria and the federal courts of Australia.
23. Changes to Terms
We may update these Terms from time to time. We will notify account holders of material changes via email or through the dashboard. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
